Konica Minolta’s Marketing Services Subsidiary Merges with GOURICA MARKETING

Konica Minolta, Inc. (Konica Minolta) has announced that its consolidated subsidiary, Konica Minolta Marketing Services, Japan, Inc. (Konica Minolta Marketing Services), has signed a merger contract with GOURICA MARKETING, Inc. (GOURICA MARKETING). As a result of the merger, Konica Minolta’s shareholding in Konica Minolta Marketing Services is expected to be reduced to 10.5%, making Konica Minolta Marketing Services no longer consolidated.

 

The Background of the Merger

As part of its business portfolio transformation strategy, Konica Minolta is focused on “selection and concentration” of businesses to optimize its portfolio by 2025. In line with this strategy, Konica Minolta considered reorganizing Konica Minolta Marketing Services, a Tokyo-based subsidiary in the marketing services field. Konica Minolta determined that the value of this business could be maximized and that Konica Minolta’s asset-efficiency could be improved by bringing in third-party capital and external knowledge, in addition to the experience and know-how that Konica Minolta has cultivated.

 

Konica Minolta Marketing Services

Konica Minolta Marketing Services offers services that optimize the marketing ROI of major Japanese companies by achieving DX (digital transformation) with its own ecosystem. The company is focused on four services, namely Magonote, Go Insight, Go Works, and Go Analytics. By visualizing the sales promotion activities of client companies that tend to become black boxes, Konica Minolta Marketing Services constructs and operates efficient and effective sales promotion processes.

 

Scheme of the Merger

GOURICA MARKETING is a special purpose company established by Kensuke Okamoto, a former CEO of Konica Minolta Marketing Services. The aim of GOURICA MARKETING is to build a new management structure that will enable Konica Minolta Marketing Services to grow and expand its business.

GOURICA MARKETING plans to receive an investment of approximately 600 million yen from a fund run by Femto Partners Inc., which has a strong track record in start-ups in the IT field. Konica Minolta Marketing Services aims to grow its business under a new management structure by merging with GOURICA MARKETING.

The new company resulting from the merger is called GOURICA MARKETING, Inc. The company’s head office is located at TQ Kayabacho, 1-7-9 Nihonbashikakigaracho, Chuo-ku, Tokyo, and its representative is Kensuke Okamoto, CEO. The company has a capital of 900 million yen (including capital reserve), and its business overview is marketing support services based on data science.

The company was established on January 9, 2015, and its business overview is marketing support services based on data science.

 

Overview of absorbed company

The absorbed company is GOURICA MARKETING, Inc. Its head office is located in Kokubunji-shi, Tokyo, and its representative is Kensuke Okamoto, CEO. The company was established on March 24, 2023.

 

Schedule

The date of merger agreement conclusion is April 18, 2023, and the effective date of the merger is June 1, 2023.
